Articles of Association

 

Article I: Name

The name of this association is The Southern Idaho Society for Software Quality Assurance (SISQA), a not for profit organization. SISQA is a local federation chapter of the Quality Assurance Institute (QAI), an international federation located in Orlando, Florida. QAI is a membership organization dedicated to improving enterprise-wide information quality.

 

Article II: Purpose and Objectives

The purpose of SISQA is to provide a forum in which Software Quality and Information Technology (IT) Professionals can share and promote quality assurance concepts, principles, and practices through the following objectives:

 

Encourage and foster the exchange of quality best practices that promote quality improvement by:

q       Hosting local and national speakers

q       Networking with other quality professionals

q       Communicating quality-related events and activities

q       Promoting commitment to quality

 

Promote quality professionalism through education of its membership in current and emerging quality concepts, methods and practices by:

q       Hosting national and local seminars

q       Sponsoring QAI educational opportunities

 

Increase quality professionalism by:

q       Promoting and assisting in the professional certification programs

q       Publicly recognizing individuals and corporations for contributing to quality improvement in their companies and communities

 

Article III: Geographical Boundaries

Membership within SISQA will not be limited to boundaries located within the Southern Idaho regional area, but will consider the Boise, Idaho metropolitan area the base of operations.

 

Article IV: Governing Body, Structure and Responsibilities

Section 1: Executive Committee Membership and Description

The governing body of SISQA will consist of the following Executive Committee members:

1. President

4. Director of Membership

2. Treasurer

5. Director of Publicity and Publications

3. Director of Programs and Facilities

6. Immediate Past President

 

  1. President:

A.      Is an elected position with at least one year of experience on the Executive Committee.

    1. Administers the activities of SISQA and supervises its operations.
    2. Presides over local federation meetings and events serving as chairperson and spokesperson at those events and any gathering where SISQA is represented as an organization.

    1. Personally, or by designated designee, reports association business, upcoming events, introduces speaker(s) and special quests, provides recognition in the form of certificates or plaques to monthly federation speakers, and provides any other information that pertains to the business of SISQA.
    2. Chairs the Executive Committee meetings.
    3. Outlines the SISQA and Executive Committee yearly goals.
    4. Represents to the national federation (QAI) and acts as spokesperson for SISQA to the national federation (QAI) and other representing organizations. May represent SISQA in all local and national association affairs, but shall take no action binding upon SISQA without prior authorization by the Executive Committee.
    5. Transmits to the Executive Committee, for approval or disapproval, items that may affect the association’s membership or the welfare of SISQA.
    6. Submits QAI forms for changes in federation contracts.
    7. Delegates other Executive responsibilities when that committee member is absent or unable to perform her/his duties of that office.
    8. Provides congratulatory letters to newly certified individuals in the geographical are of SISQA.
    9. Maintains signature authority on all SISQA financial accounts/assets.
    10. Submits quality-related articles and news events to publicity and publications to promote events, programs, and general interests to the membership of SISQA.
    11. Provides continuing professional credits (CPE’s) to SISQA members on sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.
    12. Assists in performing any other duties in order to promote harmonious operation of SISQA activities.

 

  1. Treasurer:

A.      Is an elected position with no experience necessary on the Executive Committee.

B.      Administers and controls all SISQA funds, accounts and financial activities, including but not limited to checking accounts, money markets and mutual funds.

C.      Receives all funds of SISQA and keeps an accurate account of all receivable transactions.

D.      Makes payable transactions for SISQA and keeps accurate account of all payable transactions.

E.      Maintains signature authority over all accounts and assets of SISQA.

F.      Has the authority of approval for one-time purchases of less than $100, one hundred dollars, without approval of the Executive Committee.

G.     Creates monthly financial reports of all payable and receivable balances and accounts of SISQA and reports to the Executive Committee.

H.      Turns over all financial accounts, transactions and disclosures to a special Financial Audit Sub-committee at the request of the Executive Committee.

I.         Assures monthly federation meeting attendees and guests sign the attendance sheet.

J.       Provides management and support for the credit card payment system and bank transfers.

K.      Collects payments, including past due accounts, from:

q       Any material items or fund raising (e.g. books, items, SISQA T-shirts)

q       Annual and new membership fees

q       Special events, activities or programs

q       Educational events

q       Committee dinners or outings

L.   Provides continuing professional credits (CPE’s) to SISQA members on sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.

M.  Assists in performing any other duties in order to promote harmonious operation of SISQA activities.

  1. Director of Programs and Facilities:

A.      Is an elected position with no experience necessary on the Executive Committee.

B.      Selects, identifies, develops and coordinates all SISQA program and presentation activities

C.      Selects SISQA federation meeting programs and presentations that meet the information and education needs of the membership.

D.      Contacts speakers and makes arrangements for their presentation at the federation meeting. Collects and publishes the presentation topics, speaker’s agenda, handouts, biographical information and presentation synopsis.

E.      Submits quality-related articles and news events to publicity and publications to promote events, programs and general interests to the membership of SISQA>

F.      Performs meeting site, menu and investment selection and makes recommendations to the Executive Committee on the following:

G.     Gives site (name, address and phone number), parking instructions, menu (selections and cost) and investment notifications to the Director of Finance and Director of Publicity and Publications.

H.      Assists the monthly federation presenter with setup responsibilities.

I.         Maintains safe Audio/Visual equipment use and storage.

J.       Provides continuing professional credits (CPE’s) to SISQA members and sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.

K.      Assists in performing any other duties in order to keep harmonious operation of SISQA activities.

 

  1. Director of Membership:

A.      Is an elected position with no experience necessary on the Executive Committee.

B.      Controls, directs and facilitates membership activities:

q       Prepares and distributes membership information to guests and prospective members.

q       Prepares and distributes annual membership dues notification to all members “In Good Standing” in accordance with association articles and policies.

q       Enters new member information into the membership database.

q       Revises the membership database with current information on existing members.

q       Creates listings of non-members and members in “good standing”, including company listings and member listings in accordance with association policies.

q       Assists the Director of Finance in recording attendance at monthly federation meetings.

q       Reports changes in membership status to the Executive Committee.

C.      Prepares and distributes membership materials

q       Prepares and distributes  orientation materials to new members.

o        A copy of the SISQA Articles of Association

o        A Membership Directory

o        The current President’s welcome letter

o        A SISQA Membership Card.

q       Creates and distributes annual membership cards to the current membership.

q       Prepares, maintains and distributes electronic mailing addresses and mailing labels in accordance with association articles and policies.

q       Supervises the preparation and distribution of the membership directory in accordance with association articles and policies.

D.      Chairs the Membership Committee.

E.      Leads the Annual Membership Drive.

F.      Prepares and distributes the attendee meeting nametags prior to the monthly federation meeting.

G.     Submits quality-related articles and news events to publicity and publications to promote events, programs and general interests to the membership of SISQA>

H.      Provides continuing professional credits (CPE’s) to SISQA members and sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.

I.         Assists in performing any other duties in order to keep harmonious operation of SISQA activities.

 

  1. Director of Publicity and Publications:

A.      Is an elected position with no experience necessary on the Executive Committee.

B.      Collects quality-related articles and news events from other Committee members, members, sub-committee members and other associations for publication.

C.      Administers, controls, directs, facilitates and prepares all federation publication materials including:

q       SISQA Meeting Announcements and Flyers

q       SISQA Newsletter

q       SISQA Web Site

q       Educational and Certification Events notifications

q       Officer Nomination and Election Material

q       Prepares Continuing Education (CPE) forms and has the CPE forms available during registration at federation meetings or other continuing education activities sponsored by SISQA

q       Special Event Flyers

q       Any other publication material presented to the membership, Executive Committee, sub-committees, or their representatives.

D.      Prepares publications and other pertinent information for electronic publication.

E.      Prepares hardcopies of national and federation publications for distribution during registration at monthly federation meetings.

F.      Administers, controls, contacts and directs all public relations activities of the federation the following:

q       Affiliations

q       Media News Releases and/or Contacts

q       Advertising of SISQA federation meetings, scheduled events and activities

q       SISQA information packets and brochures

q       Other professional or student organizations’ material

G.     Responsible for publicity and publication hardcopy mailings that may require post office deliveries.

H.      Assists the Director of Membership to assure mailing label addresses are current and are maintained in accordance with association articles and policies.

I.         Provides continuing professional credits (CPE’s) to SISQA members and sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.

J.       Assists in performing any other duties in order to keep harmonious operation of SISQA activities.

 

  1. Immediate Past President:

A.      Is a non-elected position on the Executive Committee.

B.      Offers experience and leadership to the Executive Committee and membership of SISQA.

C.      Chairs the Articles and Policies Committee.

D.      Submits quality-related articles and news events to publicity and publications to promote events, programs and general interests to the membership of SISQA>

E.      Provides continuing professional credits (CPE’s) to SISQA members and sub-committees or volunteers to the organization in accordance with the “Common Body of Knowledge”.

F.      Assists in performing any other duties in order to keep harmonious operation of SISQA activities.

 

Section 2: Executive Committee Member Conduct and Responsibilities

A.      It is the responsibility of each outgoing Executive Committee Member to provide instruction and leadership to the newly elected Members so that they can successfully accomplish the responsibilities of each position vacated by the previous Member.

B.      Members of the Executive Committee will conduct themselves in the following manner by:

q                   Maintaining regular membership status

q                   Exercising honesty, objectivity and diligence in the performance of their duties and responsibilities

q                   Exhibiting loyalty in all matters pertaining to the affairs of SISQA

q                   Not knowingly being a part of any illegal or improper activity

q                   Refraining from entering into any activity that may be in conflict with the interest of SISQA or would prejudice their ability to objectively carry out their duties and responsibilities

q                   Undertaking only those duties and responsibilities of office of which they can reasonably complete with professional competence, and within any timelines set by the Executive Committee

q                   Being prudent in the use of information acquired in the course of their duties and not use confidential information for personal gain nor in any manner that would be detrimental to the welfare of SISQA or its membership

q                   Not distorting any operations, information or reports to the membership or sitting members of the Executive Committee

q                   Being mindful of their obligation to maintain the high standards of competence, morality, professional integrity, dignity and abide by the professional “Code of Ethics” for quality professionals.

C.      Executive Committee Members may remove any Committee Member and declare the seat vacant under any of the following conditions:

q       There is evidence that the current sitting Committee Member has willfully violated the conduct and responsibility listing. Removal from office will require two-thirds approval via secret ballot vote of the Executive Committee.

q       The sitting Executive Committee Member violates his/her own regular membership standing and becomes a non-member of SISQA. Removal from office will require a written statement from the Director of Membership.

q       The Executive Committee Member accumulates three unexcused absences from the executive meetings in a term. An unexcused absence is defined as no notification to any member of the Executive Committee of the planned absence. Removal from office will require the two-thirds approval via secret ballot vote of the Executive Committee.

D.      Any vacancy in office shall be filled by appointment of the Executive Committee and will require a two-thirds approval vote from the Executive Committee Members.

E.      In the event the sitting Executive Committee Member cannot attend a scheduled executive meeting, the absent Member will draft a written status report. This status report will list his/her assigned duties and responsibilities to be given in his/her absence during the executive meeting. This status report will be delivered to an attending Executive Committee Member prior to the scheduled executive meeting.

 

Section 3: Executive Committee Member’s Term of Office

A.      Terms of office are one ear with elections to be held in the third quarter of each fiscal year. Existing Executive Committee Members may hold their positions multiple terms unless they choose to retire or are elected out of the position.

B.      If elected, the President may serve two terms, but not to exceed two years tenure.

C.      New Executive Committee Members shall take office at the last executive meeting of the fiscal year and shall serve for a term of one year or until their successors are properly elected and installed.

D.      Introduction of Executive Committee Members will be conducted at the first regular federation meeting of the fiscal year.

E.      Incumbent and existing Executive Committee Members should attend the last executive meeting of the fiscal year.

 

Section 4: Nominations and Elections

A.      SISQA Executive Committee elections are held annually. Elections shall be held, but not limited to, the third quarter of each calendar year.

B.      Nominations for Executive Committee positions may be submitted by any SISQA member in “good standing” and only during the nomination period announced by the Elections Sub-committee.

C.      SISQA members in “good standing” may nominate themselves for any elected position on the Executive Committee.

D.      Nominations shall only be accepted by the Elections Sub-committee from those members who have regular membership status (“good standing”) according to the records from the Membership Director.

E.      Once the nomination period is closed, the Elections Sub-committee will prepare an Election Ballot. The Election Ballot shall be presented, either electronically or in hardcopy, to all regular members in “good standing” according to the records from the Membership Director.

F.      The time period for returning the ballots will be determined and announced by the Elections Sub-committee. Once the election time period has elapsed, the Elections Sub-committee shall tally the votes cast by the membership.

G.     A simple majority of votes cast is necessary for election to an Executive Committee position.

H.      The President will announce the results to the membership at the next monthly federation meeting following the election.

 

 

Section 3: Sub-Committees

A.      A member of the Executive Committee must reside on each sub-committee.

B.      The President shall have the authority to appoint all other sub-committees needed for the proper operation of SISQA

 

Articles Sub-committee chaired by the Immediate Past President

A.      This sub-committee reviews the articles of association and other governing documents that exist for SISQA every two years. The goal is to facilitate the federation’s governing documents to maintain current and meaningful purpose for SISQA.

B.      Participation on this committee can earn up to 20 CPE’s to be awarded toward re-certification.

 

Audit Sub-committee chaired by the President

A.      The Audit Sub-committee conducts audit(s) on the financial accounts of SISQA. These Articles require a fiscal year audit. Any member in “good standing” can request an audit of the SISQA treasury. The Executive Committee may approve or disapprove the audit request from the member.

B.      Responsibilities include:

q       Examinations of all the accounts receivable and bank deposits.

q       An examination of all accounts payable and checkbook receipts.

q       An accounting of all financial accounts owned by the SISQA.

C.      A formal report of the audit will be presented to the Executive Committee at the next scheduled executive meeting.

D.      The Audit Sub-committee has the authority to bring in an external auditor to perform an independent audit.

E.      Participation on this committee can earn up to 20 CPE’s to be awarded toward re-certification.

 

Certification Sub-committee chaired by the Director of Programs and Facilities

A.      This sub-committee promotes and facilitates the QAI related certifications including, but not limited to, the CQA and the CSTE certifications. Guidelines for scheduling and holding the exam and/or prep course are in other guidelines for this procedure. Such activities include, but are not limited to:

q       Assist in scheduling the exam or prep course with QAI

q       Assist in finding a location

q       Responding to questions about the examination and/or applicant process

q       Facilitating exam study sessions

q       Assisting in reviewing applicant materials for submission to QAI

q       Proctoring the examination (requires certification in the discipline)

B.      Participation on this committee can earn up to 20 CPE’s to be awarded toward re-certification.

 

Elections Sub-committee chaired by the Director of Membership

A.      This sub-committee procures the Executive Committee nominations, and prepares and counts election ballots as described in Article IV, Section 4 of these articles.

B.      Participation on this committee can earn up to 20 CPE’s to be awarded toward re-certification.

 

Article V: Budget

  1. SISQA is a non-profit organization and official budgetary procedures are not compatible with the operations of SISQA. Budgets are calculated on an event basis with two-thirds approval vote from the Executive Committee. At the first executive meeting of the year, the President will discuss goals and plans for the next fiscal year and discuss the revenue budget for those events and activities. The Director of Finance shall provide each committee member with a copy of the prior year’s financial disclosure two weeks prior to the second scheduled Executive Committee meeting. Each committee member shall be prepared to discuss the goals and plans outlined by the President and discuss the financial obligations supporting those events and activities.
  2. The fiscal year is deemed to be January 1st through December 31st.

 

Article VI: Meetings

Section 1: Regular Meetings

  1. The regular meetings of SISQA shall be held on a monthly basis, excluding a summer break decided in advance by the Executive Committee and December, unless otherwise notified. Meeting locations will be determined prior to each meeting.

 

Section 2: Executive Meetings

A.                                                                                                Executive meetings are scheduled at the discretion of the President of SISQA.

B.                                                                                                The time and location of executive meetings will be determined prior to each meeting.
